Terms of Service

These Terms of Service (« Terms ») govern access to and use of services provided by Third Coast TV, a service operated by Third Coast Interactive L.L.C., a Delaware limited-liability company (« we », « us », or « our »).

By creating an account, accessing, or using any part of the Third Coast TV platform, you agree to be bound by these Terms.


Section I. General Provisions

(A) Purpose

To establish clear rules and responsibilities governing the use of Third Coast TV by all users and organizations.

(B) Definitions

For purposes of these Terms:

  • « Platform » refers to the services, software, and infrastructure provided by Third Coast TV.
  • « User » means any individual or entity that accesses or uses the Platform.
  • « Content » means any audio, video, text, images, data, or other material uploaded, streamed, or otherwise provided to the Platform by a User.
  • « Organization » means a business, institution, or group account that manages multiple Users or channels.
  • « Creator » means a User who produces and publishes Content on the Platform.
  • « Viewer » means a User who primarily consumes Content.
  • « Show » means a discrete live or recorded production created and managed on the Platform, which may include one or more Episodes, Streams, or Events.
  • « Episode » means an individual piece of Content within a Show, such as a livestream, recording, or podcast installment.
  • « Event » means a time-limited livestream, broadcast, or series of broadcasts, often associated with ticketing or special access controls.
  • « Ticket » means a revocable, limited license granting a Viewer access to a specific Event or Show on the Platform.
  • « Subscription » means a recurring payment arrangement granting a Viewer ongoing access to a Creator’s gated Content, Shows, or community features.
  • « Coin » means digital items purchased to enhance Platform interactions.
  • « Add-on » means supplementary services such as additional storage, delivery minutes, or features.
  • « Add-on Package » means a pre-purchased block of storage or delivery minutes available in addition to a subscription tier, applied across an Organization.
  • « Overage » means usage of storage or delivery minutes that exceeds the allocations included in a User’s subscription plan or Add-on Package.
  • « Minutes Stored » means the aggregate duration of video or audio Content hosted on the Platform, measured in minutes.
  • « Minutes Delivered » means the aggregate duration of video or audio Content streamed or downloaded by Viewers, measured in minutes.
  • « Organization Owner » means a User who creates or controls an Organization account with full administrative authority.
  • « Producer » means a User role within an Organization with permissions to manage Shows, control livestreams, and upload or edit Content.
  • « Moderator » means a User role with permissions limited to chat and community management features within Shows or Events.

We also provide a separate Privacy Policy. That policy is incorporated by reference and forms part of these Terms.

© Acceptance of Terms

By creating an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our incorporated policies, including the Privacy Policy.

If you are entering into these Terms on behalf of an Organization, you represent and warrant that you have the authority to bind that Organization, and that all Users under the Organization will comply with these Terms.

If you do not agree to these Terms, you must not access or use the Platform. Continued use of the Platform following updates to these Terms constitutes acceptance of the updated Terms.


Section II. Eligibility and Account Terms

(A) Account Eligibility

You must be at least 13 years of age to use the Platform. Users between 13-16 require verifiable parental consent. We do not knowingly collect personal information from children under 13 in compliance with COPPA. We recommend users be at least 16 years of age or the age of majority in your jurisdiction for full Platform access.

(B) Account Registration and Responsibility

You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account and for all activity that occurs under your credentials.

You certify that you are not located in, under control of, or a national or resident of any embargoed country or on any U.S. denied-party list.

We may suspend or terminate accounts that violate these Terms, or where activity presents risk to users, systems, or the public.

© Termination by User or Platform

You may stop using the service at any time. We may suspend or terminate your account for violations of these Terms, legal requirements, or risks to the Platform.

Upon termination:

  • Your access will be revoked;
  • Any remaining Content may be deleted at our discretion;
  • You remain responsible for any outstanding fees.

Section III. Content and Conduct

(A) Ownership and Licensing of User Content

You retain all rights to the Content you upload, stream, or publish, subject to the following:

  • You grant us a worldwide, royalty-free license to store, cache, host, transcode, reformat, transmit, deliver, and display your Content as necessary to operate the service, to create and use thumbnails, previews, and metadata, and to sublicense these rights to our processors and CDN providers for service operation.
  • This license is non-exclusive and terminates when you delete the Content from our systems, subject to reasonable caching or archival periods not to exceed 30 days, and for the duration of the user’s copyright plus any renewals solely for legal-archival backups.

You are solely responsible for securing any rights, clearances, or permissions required to distribute your Content.

(B) Prohibited Content and Activities

You may not use the Platform to:

  • Publish or transmit illegal Content under U.S. law;
  • Infringe on intellectual property rights;
  • Facilitate fraud, scams, or deceptive practices;
  • Publish non-consensual pornography, incitements to violence, or direct threats;
  • Circumvent gating mechanisms for paid Content or Platform restrictions.

Content that violates these provisions may be removed or access-limited at our discretion. Repeated or severe violations may lead to account termination.

Mandatory Reporting

We report apparent child sexual abuse material to NCMEC and preserve associated records as required by 18 U.S.C. §2258A.

© Extremism and Hate-Group Ban

We refuse service to any individual or organization that:

  1. is subject to U.S. sanctions, export-control, or terrorism designations; or
  2. is classified by credible independent watchdogs (for example, SPLC, ADL, Global Project Against Hate, regional NGOs) as promoting extremist ideology, hate, or violence; or
  3. in our own assessment, advocates or facilitates violence, criminal activity, or the systematic denial of civil or human rights.

We may update our determinations as new information emerges. Account holders may request a review if they believe a classification is inaccurate.

(D) DMCA Policy

We comply with 17 U.S.C. §512.

We have designated our agent with the U.S. Copyright Office and keep the registration current. Any email address that appears in our public registration is for directory compliance only. We process effective notices and counter-notices that we receive by physical mail.

Notices of Claimed Infringement (17 U.S.C. §512©(3)) A notice must include:

  1. A physical or electronic signature
  2. Identification of the copyrighted work
  3. Identification of the material and its location
  4. Contact information
  5. A good-faith statement
  6. A statement under penalty of perjury

Non-compliant notices may be rejected. We act expeditiously upon receipt of a compliant mailed notice.

Counter-Notice and Put-Back (17 U.S.C. §512(g)) If we remove or disable access, the uploader may mail a counter-notice that meets §512(g)(3). Unless the complainant files an action in court within 10 to 14 business days after we forward the counter-notice, we may restore the material.

Repeat-Infringer Policy and Standard Technical Measures (17 U.S.C. §512(i)) We terminate, where appropriate, accounts of repeat infringers. We accommodate and do not interfere with standard technical measures.

Misuse We may disregard fraudulent, abusive, or automated notices and may require reasonable verification.

(E) Anti-Harassment and Community Safety

We are committed to providing a platform where all users can participate without being subject to harassment, abuse, or targeted hate.

You may not use the Platform to:

  • Engage in targeted harassment, doxxing, or stalking of any individual
  • Incite, encourage, or glorify threats, abuse, or harassment
  • Promote or organize mass harassment campaigns
  • Use slurs, pejoratives, or dehumanizing language to attack protected characteristics including race, ethnicity, national origin, gender identity, sexual orientation, religion, disability, or age
  • Harass users within chat, comments, broadcasts, or off-platform activity clearly tied to platform use (such as coordinated raids, brigading, or ban evasion)

Reporting and Enforcement

We may take action, including but not limited to warnings, suspensions, content removal, and account termination, based on clear evidence of abusive behavior, especially when it threatens the safety of platform users or staff.

We may restrict or remove content and features such as chat access or monetization tools from users who engage in harassment, even if they are not the original poster.

Repeat violations or severe conduct may result in platform bans.

(F) Mature and Sexual Content

Third Coast TV permits mature entertainment and creative expression.

Pornography, sexually explicit conduct, or content primarily intended for sexual gratification is prohibited.

(G) Content Classification and Access Modes

Third Coast TV uses its own internal content classification system to help viewers understand the general tone and maturity of programming, and to determine whether content is eligible for publication, monetization, or age restrictions.

These ratings are informational only and do not represent compliance with any government, broadcast, or motion-picture standard.

(1) Content Ratings

Each Show or Episode is assigned a Content Rating reflecting the intended audience and degree of mature material.

Rating Label Description
Y Youth Intended for all audiences. Contains no explicit language, violence, or sexual content.
Y7 Youth 7+ May contain mild themes or stylized action not suitable for very young children.
G General Audience Suitable for most audiences. May contain infrequent mild language or thematic material.
PG Parental Guidance May contain brief strong language, suggestive humor, or moderate thematic elements.
14 Ages 14+ Contains stronger language, mature themes, or moderate violence. Viewer discretion advised.
MA Mature Audiences Intended for adults. May include intense language, crude humor, or non-sexual nudity.
R Restricted Contains material unsuitable for minors, including partial nudity, explicit dialogue, or strong violence.
X Explicit / Adult-Only Contains explicit sexual material or extreme violence.

Creators must apply ratings honestly and accurately. Misrated content may be corrected, restricted, or removed.

(2) Content Descriptors

Additional Descriptors identify specific kinds of mature material that may appear within content:

Code Descriptor Description
D Suggestive Dialogue Dialogue that implies sexual situations or contains innuendo.
L Strong Language Frequent or harsh profanity.
S Sexual Content Non-explicit sexual themes or situations.
N Nudity Partial or brief non-sexual nudity.
V Violence Depictions of realistic physical harm or intense action.
FV Fantasy Violence Stylized or cartoon violence typical of animated or fantastical works.

Ratings and descriptors may appear together (for example, “14 D,L” or “R S,N”) to indicate the general tone of the material.

(3) Content Access Modes

Each piece of content carries an Access Mode that defines how viewers may access or unlock it:

Mode Description
public Viewable by anyone without sign-in or payment.
subscriber Restricted to active subscribers of a Creator or Organization.
tier-gated Available only to subscribers at a specific tier or higher.
perk-gated Available to users who hold a qualifying perk, badge, or membership entitlement.
purchase Available for one-time purchase, rental, or permanent access.
purchase-or-subscriber Included with a subscription but purchasable for non-subscribers.

Creators are responsible for accurate labeling. Third Coast TV may revise or override ratings, descriptors, or access modes to maintain consistency, legal compliance, or platform integrity.


Section IV. Service Terms and Billing

(A) Service Tiers and Paid Features

Third Coast TV offers both free and paid service tiers. Use of paid tiers is subject to applicable fees and billing terms described during checkout or in your organization’s billing dashboard.

(B) Billing and Payment Terms

  • Subscriptions auto-renew each billing period unless canceled before the renewal date. You can cancel at any time in the billing portal. Cancellation takes effect at the end of the then-current period.
  • Fees are non-refundable except as required by law.
  • Add-on services (for example, extra storage or delivery) may be billed in advance or in arrears as disclosed at purchase.
  • Taxes are additional where applicable. You authorize us and our payment processors to charge your payment method for all fees and taxes.
  • We may change pricing on 30 days’ notice for future periods.
  • If a charge fails, we may retry and may suspend or limit service until payment is resolved.

Creator payouts are handled through Stripe Connect or other third parties and are subject to their own terms of service.

© Add-ons, Overage, and Refunds

  • Overage fees apply if usage exceeds allocation without active add-ons. Overage calculations and rates are published in-product and calculated per minute of video delivered or stored. Overage rates may change prospectively.
  • Refunds are not provided for partially used periods, overages, or promotional credits unless required by law.
  • Failure to pay may result in suspension or termination of service.

(D) Platform Availability and Maintenance

We strive for reliable service, but uninterrupted access is not guaranteed. We may suspend or limit portions of the service for maintenance, legal compliance, or technical issues.

We are not liable for delays, interruptions, or data loss, except where required by applicable law.

Force Majeure We are not responsible for failure or delay caused by events beyond our reasonable control, including acts of God, labor disputes, internet or utility failures, government actions, war, epidemics, or disasters.

(E) Coins and Virtual Items

Nature of Coins. Coins are digital items that enable enhanced features, such as chat boosts, polls, shout-outs, giving coins to creators, and similar interactions. Coins are not currency, stored value, prepaid access under 31 C.F.R. § 1010.100(ff), nor a consumer financial product. Coins are non-transferable and have no cash or refund value. Spending Coins is final.

Purchase and Delivery. Users purchase Coins through Stripe-hosted checkout or other approved processors. Upon a successful charge, we credit the user’s Coin balance.

Use and Conversion. When Coins are spent, we record engagement events and credit the creator’s account in our internal ledger. Creators do not receive Coins. Creators receive fiat payouts through Stripe Connect based on engagement according to rates we publish in-product, with Stripe processing fees netted out before creator earnings. Creators are responsible for their own tax obligations on payouts received.

Rates and Promotions. Coin pricing and Coin-to-creator-credit rates may vary by promotion, package, or event. We may change future rates at any time. Changes are not retroactive.

Chargebacks and Fraud. If a Coin purchase is reversed or flagged as fraudulent, we may revoke unspent Coins and reverse associated benefits and creator credits tied to those purchases.

No Cash-Out. Coins cannot be redeemed for money or for goods or services outside the Platform. We do not permit Coin transfers, sales, or gifts between users.

Sunset. If we discontinue Coins, we will provide at least 180 days’ notice and offer a reasonable path to consume remaining balances on-platform.

Tax. Taxes apply, if any, at the point of Coin purchase. Creators are responsible for taxes on fiat payouts.

(F) Beta and Experimental Features

We may provide access to beta, experimental, or pre-release features. These features are provided « as is » and may be modified, discontinued, or rolled back at any time without notice or liability. Your use of beta features is at your own risk.


Section V. Legal Terms

(A) Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Cook County, Illinois.

(B) Dispute Resolution; Class Action Waiver

Any dispute arising out of or relating to these Terms will be resolved by binding individual arbitration under the Federal Arbitration Act, administered by JAMS using its Consumer Rules. Either party may bring an individual claim in small-claims court.

WAIVER OF JURY TRIAL AND CLASS ACTIONS. You and we each waive any right to a jury trial and to participate in class, collective, and representative actions, INCLUDING claims under California’s Private Attorneys General Act (PAGA).

Opt-Out Right. You may opt out of this arbitration provision by emailing [email protected] within thirty (30) days of first accepting these Terms.

© Limitation of Liability

To the extent permitted by law, our total liability for any claims under these Terms is limited to the greater of (a) $100 or (b) the amount you paid to us in the 6 months preceding the claim. To the maximum extent permitted by law, we will not be liable for indirect, incidental, punitive, or consequential damages.

(D) Disclaimer of Warranties

The service is provided « as is » and « as available » without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

(E) Legal Compliance and Export Controls

You agree to comply with all applicable laws and regulations in your jurisdiction, including export control and sanctions laws. You may not use the service from jurisdictions embargoed by the United States. You certify that you are not located in, under control of, or a national or resident of any embargoed country or on any U.S. denied-party list.

(F) Miscellaneous

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

No Waiver. Failure to enforce a provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Survival. Sections III(A), III(D), IV(B), IV©, IV(E), V(B), V©, and V(D) survive termination to the extent necessary to enforce rights and obligations accrued prior to termination.


Section VI. Updates and Contact

(A) Changes to Terms

We may update these Terms at any time. Changes will take effect upon posting. Continued use of the service after changes constitutes acceptance.
